Item 3.02. Unregistered Sales of Equity Securities
On August 1, 2014, we issued 3,636,364 shares of our common stock to one accredited investor at a price of $.55 per share, for gross proceeds of approximately $2.0 million. Such transaction was and is exempt from the registration provisions of the Securities Act of 1933, as amended, pursuant to Regulation S and Section 4(2) of such statute.

(d) On August 1, 2014, we agreed to issue to Ali H M Afdhal, one of our directors, 218,182 shares of our common stock as a fee in respect of his arrangement of the transactions described in Item 3.02 above.
