On July 31, 2014, Douglas R. Berry voluntarily resigned as director of both Juniata Valley Financial Corp. (the “Company”) and of its subsidiary, The Juniata Valley Bank; the resignation was not due to a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
