Item 1.01. Entry into a Material Definitive Agreement.
 
On July 23, 2014, North American Oil & Gas Corp. (the “Company”) entered into a short term promissory note (the “Note”) with ASPS Energy Investments Ltd., a company whose voting and investment control is held by Mr. Robert Rosenthal, the Company’s President and Chief Executive Officer.
 
The Note is for a principal amount of $20,000, bears interest at the rate of 4% per annum, and is payable on or before August 26, 2014. The proceeds from the Note will be used for the Company’s general business purposes.
 
The foregoing description of the Note does not purport to be complete and is qualified in its entirety by the document. A copy of the Note will be filed as an exhibit to the Company’s quarterly report on Form 10-Q for the fiscal quarter ending September 30, 2014.
