On June 25, 2014, the Human Resources Committee of the Board of Directors of IHS Inc. (“IHS” or “we” or “us” or “our”) approved, effective as of July 1, 2014, the following compensation elements for Mr. Todd Hyatt, our Executive Vice President and Chief Financial Officer, in recognition of his continued service and the value he brings to IHS: (1) an increase in annual base salary from $430,000 to $510,000; and (2) an equity award of 5,000 performance-based restricted stock units for the three-year performance period ending November 30, 2016. Except as set forth above, Mr. Hyatt's employment agreement, dated October 31, 2013, shall remain in effect.
