Item 2.02. Results of Operations and Financial Condition.
On June 25, 2014, Casella Waste Systems, Inc. (the “Company”) issued a press release announcing its financial results for the year ended April 30, 2014. The full text of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
The information in this Item 2.02 of this Form 8-K (including Exhibit 99.1) shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as expressly set forth by specific reference in such a filing.
Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On June 24, 2014, the Board of Directors of the Company approved a change to the Company’s fiscal year end from April 30 to December 31. The change in the Company’s fiscal year end will become effective for the Company’s 2015 fiscal year, which will begin January 1, 2015 and end December 31, 2015. The Company intends to file a transition report on Form 10-KT for the eight-month transition period ending December 31, 2014.
