Item 3.02 Unregistered Sales of Equity Securities
On June 20, 2014, we closed an extension and enlargement of the private offering of our common stock previously described in our report filed on form 8K on May 16, 2014. A total of 1,725,000 additional shares of common stock were sold to a total of nine (9) purchasers. The shares were sold for cash proceeds of $1,725,000. The shares were offered exclusively to accredited investors and the offering and sale of the shares was exempt from registration under Rule 506 of Regulation D.
