On June 3, 2014, the Board of Directors (the "Board") of Smith-Midland Corporation (the "Company") accepted the resignation of Mr. Frederick L. Russell, Jr. from the Board and related responsibilities on the Audit and Compensation Committees. There is no disagreement between Mr. Russell and the Company on any matter relating to the Company's operations, policies, or practices.
