This Current Report on Form 8-K is filed by Manhattan Bridge Capital, Inc. (the “Registrant”), in connection with the items set forth below.

On June 9, 2014, the Registrant issued a press release, a copy of which is attached hereto as Exhibit 99.1, announcing that it had increased its annual dividend to $0.28 per common share, payable in four equal quarterly installments on July 15, 2014, October 15, 2014, January 15, 2015 and April 15, 2015 to shareholders of record on July 10, 2014, and October 10, 2014, January 10, 2015 and April 10, 2015. This increased dividend replaces the previously declared quarterly dividend of $0.02 per share. A copy of the press release is attached as Exhibit 99.1 hereto.
