Item 8.01 Other Events.
On June 2, 2014, ITC Holdings Corp. announced the completion of the previously announced cash tender offer (the “Offer”) for any and all of its outstanding $255,000,000 aggregate principal amount of 5.875% Senior Notes due 2016 and any and all of its outstanding $255,000,000 aggregate principal amount of 6.375% Senior Notes due 2036. The Offer expired at 11:59 p.m., New York City time, on May 30, 2014. A copy of the press release, dated June 2, 2014, is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
