ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On May 16, 2014, we entered into an agreement with certain shareholders of Crio, Inc., a Utah corporation to acquire up to 100% of Crio's common stock in exchange for 112,500,000 restricted shares of our common stock.
