Item 2.02. Results of Operations and Financial Condition.

On May 6, 2014, Hampden Bancorp, Inc. (the “Company”), the holding company for Hampden Bank (the “Bank”), announced its financial results for the three and nine months ended March 31, 2014.   The press release announcing financial results for the three and nine months ended March 31, 2014 is included as Exhibit 99.1 to this Current Report on Form 8-K.

Item 8.01. Other Events

On May 6, 2014, the Company issued a press release announcing that its Board of Directors declared a quarterly cash dividend of $0.06 per common share, payable on May 30, 2014, to stockholders of record at the close of business on May 16, 2014.  A copy of the press release announcing the declaration is attached as Exhibit 99.1.
