(a) The annual meeting of the stockholders of the company was held on April 24, 2014.
(b) At the meeting, the stockholders:
| • | elected all three director nominees named in the 2014 Proxy Statement to the company’s Board of Directors for three-year terms expiring at the annual meeting of stockholders to be held in 2017; and |
| • | ratified the appointment of KPMG LLP as the company’s independent registered public accounting firm for the fiscal year ending December 31, 2014. |
