Item 7.01 Regulation FD Disclosure
On April 30, 2014, PBF Energy Inc.'s indirect wholly-owned subsidiary and PBF Holding Company LLC's direct wholly-owned subsidiary, PBF Logistics LP (the “Partnership”), issued a press release announcing that the Partnership has commenced an initial public offering of common units representing limited partner interests pursuant to a registration statement on Form S-1 (the “Registration Statement”) filed with the U.S. Securities and Exchange Commission (“SEC”). A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K. The Registration Statement is publicly available on the SEC’s website at www.sec.gov.
