On April 17, 2014, a press release announcing that Victory Electronic Cigarettes Corporation (the “Company”) had acquired Must Have Limited (“MHL”), an England and Wales incorporated limited company, was issued inadvertently by the Company’s agent. The acquisition has not yet closed, although all closing conditions other than funding have occurred. The Company has issued a press release to disclose the mistake and update the market accordingly; a copy of which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
