EXPLANATORY NOTE
This Current Report on Form 8-K/A amends the Current Report on Form 8-K filed by Eagle Rock Energy Partners, L.P. on February 11, 2013, regarding the adoption of Eagle Rock Energy G&P, LLC's 2013 Short Term Incentive Bonus Plan (the “2013 Bonus Plan”). Certain portions of the 2013 Bonus Plan were redacted pursuant to an Application for Confidential Treatment under Rule 24b-2 under the Securities Exchange Act of 1934, as amended. In accordance with the terms of that Application for Confidential Treatment, an unredacted version of the 2013 Bonus Plan is attached hereto as Exhibit 10.1.
