Item 1.02

Termination of Material Definitive Agreement.


On March 24, 2014, Biodel Inc. (the "Company") terminated a supply agreement previously entered into with N.V. Organon (“Organon”) on July 7, 2008, as amended by the parties on November 12, 2009 and July 25, 2011 (the “Agreement”).  Pursuant to the Agreement, Organon agreed to sell and deliver to the Company, and the Company agreed to purchase from Organon, specified quantities of recombinant human insulin (the “Product”) for use in the Company’s proprietary insulin formulations. The termination of the Agreement releases the parties from their respective purchase and supply commitments as of the date of termination.  Following termination, Biodel may continue to use existing supplies of Product in the manner contemplated by the Agreement when in effect. Organon’s obligation to assist the Company with regulatory approvals for product candidates formulated with the Product survive the termination of the Agreement for a period of three years.
