Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) On March 20, 2014, the Board of Directors of Northrim BanCorp, Inc. (the "Company") and its wholly owned subsidiary, Northrim Bank (the "Bank"), elected Karl M. Hanneman to serve on their respective boards, until the 2014 Annual Shareholders’ Meeting or until a successor has been elected and qualified.
Mr. Hanneman's appointment to the boards of the Company and the Bank were disclosed publicly on March 24, 2014. A copy of the press release is attached hereto as Exhibit 99.1
