On March 5, 2014, the Compensation Committee (“Committee”) of the Board of Directors of Actavis plc (the “Company”) awarded Paul M. Bisaro, the Company’s Chief Executive Officer, a cash bonus of $4,000,000 in recognition of the Company’s achievement of 2013 financial performance criteria and Mr. Bisaro’s achievement of personal goals, in each case previously established by the Committee, as well as special consideration for the completion of the acquisition of Warner Chilcott plc in 2013.
