Item 2.02 Results of Operations and Financial Condition.
On February 25, 2014, ZAGG Inc (the “Registrant”) issued a press release announcing the results of operations for the year ended December 31, 2013, and made publicly available certain supplemental financial information. The supplemental financial information is furnished with this report as Exhibit 99.1 and the press release is furnished with this report as Exhibit 99.2.
The Registrant also held its earnings conference call on February 25, 2014. The transcript of the earnings conference call is furnished with this report as Exhibit 99.3.

Item 8.01 Other Events
Stock Repurchase Plan
On February 25, 2014, the Registrant issued a press release announcing, among other things, that the Registrant’s board of directors has authorized the repurchase of up to $10,000,000 of the Registrant’s outstanding common stock. The share repurchases will be made from time to time over the next twelve (12) months at the Registrant’s discretion. The Registrant’s board of directors also authorized the Registrant to enter into a Rule 10b5-1 plan when appropriate.
A copy of the press release is attached hereto as Exhibit 99.4, and the information contained therein is incorporated herein by reference.
