Item 1.01. Entry Into a Material Definitive Agreement.

Summit Financial Services Group, Inc. (“Summit”) previously announced and filed a Form 8-K on November 18, 2013, that it had entered into an agreement and plan of merger (the “Merger Agreement”) with RCS Capital Corporation (“RCS”) and Dolphin Acquisition, LLC (“Merger Sub”), a newly formed wholly-owned subsidiary of RCS, and that the merger was expected to close during the first quarter of 2014. Although no assurance can be given, the merger is now expected to close during the second quarter of 2014.
