(b) On January 21, 2014, in connection with the sale of the remaining equity interests of Chrysler Group LLC (the “Company”) held by the UAW Retiree Medical Benefits Trust (the “VEBA Trust”) to Fiat North America LLC, Erickson N. Perkins resigned from the Company’s Board of Directors (the “Board”). Mr. Perkins had served as the VEBA Trust’s appointee to the Board, in accordance with the terms of the Company’s operating agreement.
