Item 8.01 OTHER EVENTS

On January 13, 2014, LSI Corporation (the “Company”, “LSI”, “we”, “us” or “our) distributed written responses to questions received from LSI’s employees regarding the Agreement and Plan of Merger (the “Merger Agreement”), dated as of December 15, 2013, by and among the Company, Avago Technologies Limited, a limited company organized under the laws of the Republic of Singapore (“Avago”), Avago Technologies Wireless (U.S.A.) Manufacturing Inc., a Delaware corporation and an indirect wholly owned subsidiary of Avago (“Parent”) and Leopold Merger Sub, Inc., a Delaware corporation and a direct wholly owned subsidiary of Parent (“Merger Sub”), providing for the merger of Merger Sub with and into the Company (the “Merger”), with the Company surviving the Merger as an indirect wholly owned subsidiary of Avago. A copy of LSI’s written responses to the questions received from LSI’s employees regarding the Merger Agreement is attached as Exhibit 99.1 hereto.

Also on January 13, 2014, Abhi Talwalkar, the Company’s Chief Executive Officer, distributed a written communication identifying the LSI employees who would be leading the integration process with Avago in connection with the Merger. A copy of this communication is attached as Exhibit 99.2 hereto.
