Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(e) Effective January 1, 2014, the Board of Directors (the “Board”) of Landstar System, Inc. (the “Company”), re-appointed Henry H. Gerkens to the positions of Chairman and Chief Executive Officer of the Company.
In connection with this announcement, the Board re-appointed James B. Gattoni to the position of Chief Financial Officer of the Company and also promoted him to President of the Company, a position previously occupied by Mr. Gerkens. In connection with his promotion, Mr. Gattoni’s annual salary has been increased to $370,000 from $300,000 and his annual target bonus percentage has been increased from 75% to 80% of his annual salary.
