Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 2, 2014, Violin Memory, Inc. (“Violin”) announced that Dixon R. Doll, Jr. had resigned from his position as Violin’s Chief Operating Officer and as a director of Violin effective on January 2, 2014. In exchange for a release of claims from Mr. Doll in favor of Violin, Violin agreed to provide the separation benefits provided for under the terms of Mr. Doll’s offer letter, a copy of which was filed as Exhibit 10.7 to Violin’s Form S-1 filed with the Securities and Exchange Commission on August 26, 2013 and is incorporated herein by reference.
