INFORMATION TO BE INCLUDED IN THE REPORT

 

Item 1.01.Entry into a Material Definitive Agreement.

 

On December 6, 2013, Champions Oncology, Inc. (the “Company”) entered into a licensing agreement (the “Agreement”) with Pfizer Inc. (“Pfizer”), pursuant to which the Pfizer acquired a license to utilize a portion of the Company’s TumorGraft technology platform for its studies. In addition, the Company and Pfizer will seek opportunities for further platform development and research collaboration. In consideration for the license, Pfizer will pay an aggregate payment $1,875,000, of which $937,500 is due upon execution of the Agreement and the remaining $937,500 will be paid upon successful delivery.
