Item 7.01 Regulation FD Disclosure.
On November 18, 2013, Schweitzer-Mauduit International, Inc. (the “Company”) issued a press release announcing that it had entered into a definitive agreement to acquire DelStar, Inc. for a purchase price of $231.5 million in cash (subject to certain customary post-closing adjustments).
The Company has scheduled a conference call and simultaneous webcast for 8:30 a.m. Eastern Time on Tuesday, November 19, 2013 to discuss this transaction.
