Item 7.01 Regulation FD Disclosure.

On November 8, 2013, the Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with the acquisition by Integra LifeSciences Corporation (“Integra Corporation”), a wholly-owned subsidiary of Integra LifeSciences Holdings Corporation (“Integra”), of Confluent Surgical, Inc. (the “Confluent Acquisition”), and previously announced stock purchase agreement between Integra Corporation and Covidien Group S.a.r.l, a Luxembourg company, relating to the Confluent Acquisition. The companies expect to complete this transaction upon the earlier of the satisfaction of all closing conditions and the end of the first quarter of 2014.

Item 8.01 Other Events.

On November 6, 2013, Integra entered into an underwriting agreement (the “Underwriting Agreement”) with Morgan Stanley & Co. LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated and Wells Fargo Securities, LLC (the “Managers”), as managers for the several underwriters named therein (collectively, the “Underwriters”), in connection with a registered underwritten public offering of Integra’s common stock, par value $0.01 per share (“Common Stock”). Subject to the terms and conditions of the Underwriting Agreement, Integra agreed to sell to the Underwriters, and the Underwriters agreed to purchase from Integra, an aggregate of 3,500,000 shares of Common Stock, at a public offering price of $40.00 per share. Integra also granted the Underwriters a 30-day option to purchase up to an additional 525,000 shares of Common Stock, which was exercised in full on November 7, 2013. The parties have agreed to indemnify each other against certain liabilities, including liabilities under the Securities Act of 1933, as amended. The offering, including the shares of Common Stock pursuant to the Underwriters’ option to purchase additional shares, closed on November 13, 2013.

Integra estimates its net proceeds from the offering to be approximately $152.35 million, after deducting underwriting discounts and commissions and estimated offering expenses. Integra intends to use the net proceeds from the Offering for general corporate purposes, which may include reducing outstanding borrowings under its senior credit facility and paying a portion of the purchase price for the Confluent Acquisition.

The sale of the shares of Common Stock was registered pursuant to a Registration Statement on Form S-3 (Registration Statement No. 333-192079) (the “Registration Statement”) filed with the Securities and Exchange Commission (the “Commission”), including the prospectus supplement filed by Integra with the Commission, dated November 6, 2013 (the “Prospectus Supplement”), to the prospectus contained in the Registration Statement dated November 4, 2013.

Pursuant to the terms of the Underwriting Agreement and related lock-up agreements, Integra and all of its directors and executive officers also agreed not to sell or transfer any Common Stock held by them for 90 days after November 6, 2013 without first obtaining the written consent of the Managers on behalf of the Underwriters, subject to certain exceptions as described in the Prospectus Supplement.

A copy of the Underwriting Agreement is filed as Exhibit 1.1 to this Current Report and is incorporated herein by reference, and the description of the terms of the Underwriting Agreement herein is qualified in its entirety by reference to such exhibit. The Underwriting Agreement is also filed with reference to, and is hereby incorporated by reference into, the Registration Statement.

Attached as Exhibit 5.1 to this Current Report and incorporated herein by reference is a copy of the opinion of Latham & Watkins LLP relating to the validity of the shares of Common Stock that may be sold in the Offering (the “Legal Opinion”). The Legal Opinion is also filed with reference to, and is hereby incorporated by reference into, the Registration Statement.
