Item 5.03      Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On November 5, 2013, the Company, in accordance with Section 151(g) of the Delaware General Corporation Law, filed an Amended and Restated Certificate of Designation of Series I Preferred Stock (the “Amended Certificate of Designation”).

The Amended Certificate of Designation was filed to clarify and revise the mechanics of conversion and certain conversion rights of the holders of Series I Preferred Stock. No other rights were modified or amended in the Amended Certificate of Designation.

All description of the Amended Certificate of Designation herein does not purport to be complete and is qualified in its entirety by reference to the Amended Certificate of Designation, which is filed as Exhibits 4.1 to this Report and incorporated herein by reference.
