(b) On November 8, 2013, Mr. Jeffrey A. Marcus tendered his resignation from the Board of Directors of Charter Communications, Inc. (the “Company”) and related responsibilities on the Nominating and Corporate Governance Committee, effective immediately. There was no disagreement between Mr. Marcus and the Company relating to the Company’s operations, policies or practices relative to his resignation.
ITEM 7.01. REGULATION FD DISCLOSURE
On November 11, 2013, the Company issued a press release regarding Mr. Marcus’ resignation. A copy of the press release is attached hereto as Exhibit 99.1.
