Item 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On November 12, 2013, American Science and Engineering, Inc. issued a press release announcing financial results for the second quarter of fiscal year 2014 ended September 30, 2013.  A copy of the Press Release issued on November 12, 2013 regarding those results is submitted herewith as Exhibit 99.1.
