Item 1.01 Entry into a Material Definitive Agreement.
On October 28, 2013, The Mosaic Company (the “Company”) issued a press release announcing that it had agreed to acquire the Florida phosphate assets and assume certain related liabilities (the “Phosphate Assets Acquisition”) of CF Industries, Inc. (“CF Industries”) and entered into strategic ammonia supply agreements with CF Industries (the “Ammonia Supply Agreements”). Attached hereto as Exhibits 2.i and 99.1 and incorporated by reference herein are copies of the Asset Purchase Agreement relating to the Phosphate Assets Acquisition and the Company’s press release relating to the Phosphate Assets Acquisition and the Ammonia Supply Agreements, respectively.
