Item 2.02. Results of Operations and Financial Condition.
On October 24, 2013, Southern National Bancorp of Virginia, Inc. ("Southern National") issued a press release announcing its financial results for the three and nine months ended September 30, 2013. A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
Item 8.01. Other Events.
On October 24, 2013, Southern National issued a press release announcing the declaration of a dividend payable to shareholders of record as of November 12, 2013. A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
On October 24, 2013, Southern National issued a press release announcing the approval of a share repurchase plan under which Southern National may buy back up to 5% of its outstanding common shares. The repurchase program permits shares to be purchased in the open market. There is no guarantee as to the number of shares that will be repurchased by Southern National, and Southern National may discontinue the program at any time. A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
