Item 1.01 Entry into a Definitive Material Agreement
On October 17, 2013, HeartWare International, Inc. entered into a lease for a new corporate headquarters in Framingham, MA. Under the lease, HeartWare will rent approximately 58,000 square feet with an expected commencement date in January 2014 for a term ending seven years later, subject to the renewal terms and right to lease additional space set forth in the lease. Annual base rent will be approximately $1.2 million, payable monthly starting ten months after lease commencement and subject to periodic increases during the term of the lease. A security deposit of approximately $315,000 is due within ten days.
