In accordance with General Instruction B.2. of Form 8-K, the following information, including Exhibits 99.1 and 99.2, shall not be deemed filed for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall such information and Exhibit be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.
On October 11, 2013, the SM Energy Company (the “Company”) issued a press release announcing that the Company has scheduled a teleconference on October 30, 2013, to discuss its earnings for the third quarter of 2013 and certain other operational matters. A copy of the press release is furnished as Exhibit 99.1 to this report and is incorporated by reference herein.
On October 11, 2013, the Company issued a press release announcing that the Company's Board of Directors approved a semi-annual cash dividend of $0.05 per share of common stock outstanding. The dividend will be paid on November 6, 2013, to stockholders of record as of the close of business on October 25, 2013. A copy of the press release is furnished as Exhibit 99.2 to this report and is incorporated by reference herein.
