Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
The company issued a press release on October 14, 2013 announcing that Mark B. McClellan, M.D., Ph.D., Senior Fellow in Economic Studies, and Director of the Initiative on Value and Innovation in Health Care, Brookings Institution, will join the Board of Directors on October 15, 2013. Dr. McClellan will serve on the Regulatory, Compliance & Government Affairs Committee and the Science, Technology & Sustainability Committee of the Board. As a non-employee director of the Company, Dr. McClellan will receive compensation as described in the “Director Compensation” section of the Company's 2013 Proxy Statement. The Company's press release announcing the appointment is attached to this Report as Exhibit 99.1.
