On September 26, 2013, USA Truck (the "Company") issued a press release regarding Knight Transportation, Inc.'s unsolicited proposal to acquire all of the outstanding shares of the Company. A copy of the press release is attached as Exhibit 99.1, and is incorporated herein by reference.
