Item 1.01 Entry into a Material Definitive Agreement.

On August 30, 2013, the Company entered into a Definitive Agreement in accordance with the Letter of Intent dated August 5, 2013 to purchase all of the shares of a company named "Analytica Bioenergy, Inc., a company with a unique water purification system.  The transaction is set to close on September 20, 2013.
