Item 7.01 Regulation FD Disclosure.
On August 22, 2013, the Company issued a press release announcing that its Board of Directors approved a new $400 million share repurchase authorization, bringing the Company's total repurchase authorization to $700 million, and declared a quarterly dividend. The text of the Company's press release, attached as Exhibit 99.1 to this Current Report on Form 8-K, is incorporated herein by reference.
