Item 8.01.
Other Events.

On August 9, 2013, the Kenton Circuit Court, Fourth Division, Commonwealth of Kentucky (the “Court”), granted preliminary approval of a proposed settlement of the shareholder derivative action previously disclosed in Omnicare, Inc.'s periodic SEC reports entitled Manville Personal Injury Settlement Trust v. Gemunder, et al., Case No. 10-CI-01212. The proposed settlement is subject to final Court approval at a hearing on October 28, 2013. The terms of the proposed settlement are described in the Notice of Pendency and Proposed Settlement of Shareholder Derivative Litigation dated August 15, 2013, which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
