ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
 
On August 14, 2013, One Horizon Group, Inc. (the “Company”) issued a press release announcing the Company’s financial results for the three and six months ended June 30, 2013. A copy of the Company’s press release is attached hereto as Exhibit 99.1.

The press release furnished as Exhibit 99.1 hereto contains certain statements that may include “forward-looking statements” within the meaning of Section 27A of the Securities Act of 1933, as amended (the “Securities Act”), and Section 21E of the Securities Exchange Act of 1934, as amended (the “Exchange Act”). All statements, other than statements of historical fact, are “forward-looking statements,” including statements regarding the Company’s business strategy, plans and objectives and statements of non-historical information.
