Item 8.01 Other Events
As reported in the Current Report on Form 8-K filed by Landmark Apartment Trust of America, Inc. (the Company) on July 25, 2013, the Companys board of directors appointed Mr. David St. Pierre as a member to the board, which was to be effective as of August 1, 2013, but was postponed. On August 8, 2013 Mr. St. Pierre notified the Company that he has declined his appointment as a member of the Companys board of directors. Due to the postponement of the effective date of Mr. St. Pierres directorship and his decision to decline his appointment, Mr. St. Pierre was never installed as a member of the board of directors. Mr. St. Pierres decision not to serve on the board of directors did not result from any disagreement with the Company on any matter relating to the Companys operations, policies or practices.
