Results of Operations and Financial Condition

On August 6, 2013, UIL Holdings Corporation (the Registrant or UIL Holdings) issued a press release that announces its financial results for the three- and six-month periods ended June 30, 2013 and reaffirms its 2013 earnings guidance. A copy of the Registrant's press release is attached hereto and incorporated by reference herein as Exhibit 99.1. Regulation FD Disclosure

UIL Holdings will conduct a webcast conference call with financial analysts on Wednesday, August 7, 2013, beginning at 10:00 a.m. eastern time. UIL Holdings' executive management will present an overview of the financial results followed by a question and answer session. Other Events

On August 6, 2013, UIL Holdings issued a press release announcing that its Board of Directors had declared a quarterly dividend of $0.432 per share on its common stock. This dividend is payable October 1, 2013 to shareowners of record at the close of business on September 18, 2013.
A copy of the Registrant's press release discussing the dividend, among other items, is attached hereto and incorporated by reference herein as Exhibit 99.3.
