Item 2.02. Results Of Operations And Financial Condition.
On July 31, 2013, Energizer Holdings, Inc. (the "Company") issued a press release announcing financial and operating results for its third fiscal quarter ended June 30, 2013, reaffirmed fiscal 2013 Adjusted EPS outlook, increased its quarterly dividend and updated GAAP EPS fiscal 2013 outlook. This press release, which included the attached unaudited Statement of Earnings for the quarter, is furnished as Exhibit 99.1 hereto and incorporated herein by reference.

Item 7.01. Regulation FD Disclosure.
On July 31, 2013, the Company announced that its Board of Directors declared a quarterly dividend of fifty cents ($0.50) per share on its Common Stock, payable on September 10, 2013 to all shareholders of record as of the close of business on August 20, 2013. A copy of the press release announcing the dividend declaration is attached hereto as Exhibit 99.2 and incorporated by reference herein.
