Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On July 23, 2013 the Board of Directors accepted the resignations of Chris Bunka as Chief Executive Officer, Chairman of the Board, Secretary /Director of Enertopia Corp. and Mark Snyder as Chief Technical Officer of Enertopia Corp.
Robert McAllister, President and Director of Enertopia Corp. will assume the duties and responsibilities of Chief Executive Officer, Chairman of the Board and Secretary.

A copy of the news release announcing the resignations and signed LOI with Downhole Energy LLC is filed as exhibit 99.1 to this current report and is hereby incorporated by reference.
