Item 2.02.
Results of Operations and Financial Condition.
On July 15, 2013, the board of directors of CĪON Investment Corporation declared two regular semi-monthly cash distributions of $0.029867 per share each.  Both distributions will be paid on August 1, 2013, the first to shareholders of record on July 15, 2013 and the second to shareholders of record on July 31, 2013.

A copy of the press release announcing the foregoing is attached hereto as Exhibit 99.1 and incorporated by reference herein.

On July 15, 2013, Michael R. Manley tendered his resignation as General Counsel and Chief Compliance Officer of CĪON Investment Corporation, effective as of August 9, 2013.
