Item 8.01 Other Events.

On July 18, 2013, BMC Software, Inc. issued a press release announcing that it had commenced an offer to purchase and consent solicitation with respect to (i) its 4.25% Notes due 2022 and (ii) its 4.50% Notes due 2022.
