1.

Basis of Presentation

The accompanying financial statements of Bi-Optic Ventures Inc. (the “Company”) should be read in conjunction with the financial statements and accompanying notes filed with the U.S. Securities and Exchange Commission in the Company’s Annual Report on Form 10-K for the fiscal year ended February 28, 2013. In the opinion of management, the accompanying financial statements reflect all adjustments of a recurring nature considered necessary to present fairly the Company’s financial position and the results of its operations and its cash flows for the periods shown.

The preparation of financial statements in accordance with accounting principles generally accepted in the United States requires management to make estimates and assumptions that affect the amounts reported. Actual results could differ materially from those estimates. The results of operations and cash flows for the periods shown are not necessarily indicative of the results to be expected for the full year.

These financial statements have been prepared on a going concern basis, which implies the Company will continue to realize its assets and discharge its liabilities in the normal course of business. The Company has never generated revenues since inception and is unlikely generate earnings in the immediate or foreseeable future. The continuation of the Company as a going concern is dependent upon the continued financial support from its shareholders, the ability of the Company to obtain necessary equity financing to continue operations, and the attainment of profitable operations. As at May 31, 2013, the Company has a working capital deficit of $371,667 and has accumulated losses of $5,177,484 since inception. These factors raise substantial doubt regarding the Company’s ability to continue as a going concern. These financial statements do not include any adjustments to the recoverability and classification of recorded asset amounts and classification of liabilities that might be necessary should the Company be unable to continue as a going concern.

Significant Accounting Policies

(a)

Comprehensive Loss

ASC 220, “Comprehensive Income” establishes standards for the reporting and display of comprehensive loss and its components in the consolidated financial statements. As at May 31, 2013 and 2012, the Company has no items that represent comprehensive loss and, therefore, has not included a schedule of comprehensive loss in the financial statements.

Recent Accounting Pronouncements

The Company has implemented all new accounting pronouncements that are in effect and that may impact its financial statements and does not believe that there are any other new accounting pronouncements that have been issued that might have a material impact on its financial position or results of operations.

Related Party Transactions

(a)

During the three months ended May 31, 2013, the Company incurred $7,500 (2012 - $7,500) in management fees to a company controlled by the President of the Company.

(b)

During the three months ended May 31, 2013, the Company incurred $7,500 (2012 - $7,500) in rent and administrative services to a company controlled by the President and a director of the Company.

(c)

During the three months ended May 31, 2013, the Company incurred $6,000 (2012 - $6,000) in professional fees to a company controlled by a director.

(d)

As at May 31, 2013, an amount of $49,590 (February 28, 2013 - $43,890) is owed to the spouse of the President of the Company which is non-interest bearing, unsecured, and due on demand.

(e)

As at May 31, 2013, an amount of $75,750 (February 28, 2013 - $66,500) is owed to a company controlled by the President of the Company which is non-interest bearing, unsecured, and due on demand.

(f)

As at May 31, 2013, an amount of $127,280 (February 28, 2013 - $113,180) is owed to a company controlled by the President and a director of the Company which is non-interest bearing, unsecured, and due on demand.

(g)

As at May 31, 2013, an amount of $57,960 (February 28, 2013 - $51,520) is owed to a company controlled by a director of the Company which is non-interest bearing, unsecured, and due on demand.

         RESULTS OF OPERATIONS

Results of Operations

The Company has not had any sources of revenue to date and has financed its activities substantially through equity financing.  The Company has incurred net losses each year since inception and, as of 5/31/2013 had an accumulated deficit of $5,177,484.


Operating Expenses for the Three Months Ended 5/31/2013 were $32,886 compared to $37,095 for the same period last year.  “Consulting/management fees” were lower ($9,250 vs. $12,421); $7,500 vs. $7,500 paid/accrued to Myntek Management Services Inc.; and ($1,750 vs. $4,921) paid to third parties.  Professional fees were modestly down ($12,902 vs. $13,266): $6,000 vs. $6,000 paid/accrued to Wynson Management Services Ltd.; and ($6,902 vs. $7,266) paid to third parties. “Office/Rent/Telephone/Administrative Services” increased modestly ($8,721 vs. $8,440), including $7,500 vs. $7,500 paid/accrued to Pacific Paragon Capital Group.  Net Loss was $32,886 vs. $37,095.  Loss Per Share was $0.00 vs $0.00 in the prior year period.


Liquidity and Capital Resources

The Company had a working capital deficit of $371,667 at 5/31/2013, compared to a working capital deficit of $338,957 at 2/28/2013.  Net Cash Used in Operating Activities for Three Months Ended 5/31/2013 was $13,043 vs. $3,830 in the prior-year period. Net Cash Used in Investing Activities was $nil versus $nil.  Net Cash Provided by Financing Activities was $13,043 versus $3,340; predominately resulting from increased “due to/from related parties”.
