Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On July 9, 2013, the Board of Directors (the “Board”) of Staffing 360 Solutions, Inc. (the “Company”) appointed Mr. Robert Mayer to the Board to fill a vacancy as a result of the increase in the size of the Board from 4 to 5 persons.

 

Mr. Mayer was appointed to the Board as a result of a right granted to the lead investor, Pre Staff, LLC, in our private placement offering of units, consisting of common stock and warrants, which closed on July 28, 2013. There are no related party transactions involving Mr. Mayer that are reportable under Item 404(a) of Regulation S-K
