Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year |
On July 5, 2013, the Board of Directors (the “Board”) of Parametric Sound Corporation (the “Company”) amended the Company’s Bylaws to clarify and expand how notice of special meetings of the Board may be given to directors (including, consistent with Nevada law, pursuant to notice by electronic transmission such as electronic mail and facsimile), when such notice must be given, when such notice will be deemed effective and what business may be conducted at a special meeting of the Board.
The foregoing summary is qualified in its entirety by reference to the Certificate of Amendment of Bylaws which is attached to this report as Exhibit 3.1 and incorporated herein by reference.
