Item 1.01 Entry into a Material Definitive Agreement.

On June 20, 2013, Ferro Corporation (the "Company") entered into an indemnification agreement with each of David A. Lorber and Jeffry N. Quinn effective as of May 22, 2013, the date of the Company’s Annual Meeting of Shareholders. Messrs. Lorber and Quinn were elected to the Company’s Board of Directors at the 2013 Annual Meeting. The indemnification agreement, which is the Company’s standard form of indemnification agreement, provides that the Company will indemnify, with certain limitations, a director against certain expenses (including, without limitation, attorneys’ fees, judgments, fines and amounts paid in settlement) in connection with any claim against such director arising out of such person’s status as a director of the Company.

The foregoing summary of the form of indemnification agreement does not purport to be complete and is qualified in its entirety by reference to the text of the form of indemnification agreement, which is filed as Exhibit 10.1 and is incorporated herein by reference.
